01Acceptance of terms

These Terms of Sale ("Terms") are an agreement between you and Pepared Research, LLC ("Pepared," "we," "us"). They apply whenever you use our website, create an account, or place an order. By doing any of these, you agree to these Terms, our Shipping Policy, our Refunds & Returns policy, and our Privacy Policy. If you don't agree, don't use the site or buy from us.

02Research use only

All products are sold strictly for in vitro laboratory research and development use. They are not intended for human ingestion, injection, topical application, or any other use in or on the human body, and they are not for veterinary, agricultural, or household use. Any other use is strictly prohibited.

Some product names are coded, and product descriptions are provided for identification only. Information on this site is for educational and informational purposes about research only. Nothing on this site is medical advice, and nothing on this site is usage, dosing, or administration guidance of any kind.

03FDA & regulatory notice

Pepared Research, LLC is not a licensed pharmacy, medical provider, or compounding facility. We are not registered under Section 503A or 503B of the Federal Food, Drug, and Cosmetic Act and do not offer pharmaceutical services.

04Eligibility & buyer representations

By using this site or placing an order, you represent and warrant that:

• You are at least 21 years of age.
• You are a qualified researcher, or you are acting on behalf of a research institution or laboratory, with the knowledge and facilities to handle research materials safely and lawfully.
• You are purchasing solely for lawful in vitro laboratory research.
• You will not administer any product to humans or animals, and you will not resell any product for human or animal use.
• You will comply with all applicable federal, state, and local laws and regulations.
• All information you give us, including your age and research-use acknowledgments, is true and accurate.

You are solely responsible for determining that your purchase, possession, and use of products is lawful where you are. You assume all responsibility for the handling, storage, use, and disposal of products.

05Accounts

You don't need an account to place an order; you can check out as a guest with your email address. If you create an optional account, you are responsible for keeping your sign-in details confidential, for all activity under your account, and for keeping your account information accurate. Tell us right away if you believe your account has been used without your permission.

06Orders & pricing

Placing an order is an offer to buy. We may accept, refuse, limit, or cancel any order at our discretion, including after you receive an order confirmation.

Prices are listed in U.S. dollars and may change at any time. We work to keep product information and prices accurate, but errors can happen. If a product is listed at an incorrect price or with incorrect information, we may cancel the order and refund any amount you paid. Product availability is not guaranteed.

07Payment

Payment is due when you place your order and is processed by a third-party, PCI-compliant payment processor. You confirm that you are authorized to use the payment method you provide. Shipping charges are calculated at checkout.

08Shipping & risk of loss

We currently ship within the United States only. Shipping methods, costs, and estimated delivery times are described in our Shipping Policy. Delivery dates are estimates, not guarantees, and we aren't responsible for carrier delays.

Missing, damaged, or incorrect items must be reported promptly as described in our Refunds & Returns policy.

09Returns & refunds

Because of the nature of research materials, we don't accept returns or exchanges, and all sales are final once an order has shipped. Cancellations, damaged or incorrect items, and refunds are handled as described in our Refunds & Returns policy.

10Product information & no warranties

We provide a Certificate of Analysis (COA) for each batch. Product descriptions and COAs are provided for identification and informational purposes only.

Except as expressly stated in these Terms, products and this site are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that any product is suitable for any particular research purpose.

11Assumption of risk & release

Research materials can be hazardous if handled improperly. You knowingly and voluntarily assume all risks associated with the purchase, handling, storage, use, and disposal of products.

To the fullest extent permitted by law, you release Pepared Research, LLC and its owners, members, officers, employees, and agents from any and all claims, damages, and liabilities arising from or related to your purchase, handling, storage, use, misuse, or disposal of products.

12Indemnification

Pepared reserves the right to pursue all available legal remedies, including recovery of attorneys' fees and costs, against anyone who misuses products, makes false representations (including on the age or research-use acknowledgment), or brings claims arising from misuse. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with that defense.

13Limitation of liability

To the fullest extent permitted by law, Pepared Research, LLC and its owners, members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, data, or business, arising from or related to these Terms, this site, or any product, even if advised of the possibility of such damages. Our total liability for any claim arising from or related to an order will not exceed the amount you paid for that order.

We are not liable for any damages arising from misuse of products or failure to follow research-use restrictions. Some jurisdictions don't allow certain limitations, so some of these limits may not apply to you.

14Prohibited uses

You may not:

• Use, administer, or provide any product for human or animal consumption or use.
• Resell or distribute any product for human or animal use, or represent products as drugs, supplements, or cosmetics.
• Give false information, including on the age or research-use acknowledgment.
• Use the site for any unlawful purpose or in violation of these Terms.
• Interfere with the site's security or operation, or access it by automated means without our permission.

15Refusals, cancellations & bans

We may refuse, cancel, or refund any order, and permanently ban any customer, at our sole discretion. This includes when we believe products may be used for non-research purposes, or when a buyer discusses or asks about human use. Misuse of products may also result in notification to the proper authorities.

16Intellectual property

The site and its content, including text, graphics, logos, product names, and images, are owned by Pepared or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or use them without our written permission.

17Third-party links

The site may link to websites we don't control. We aren't responsible for their content or practices, and a link isn't an endorsement.

18Disputes & governing law

Informal resolution first. If you have a dispute with us, please contact us first and give us a chance to resolve it. We'll try in good faith to resolve it informally within 30 days.

Binding individual arbitration. If we can't resolve a dispute informally, you and Pepared agree that it will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. Judgment on the arbitration award may be entered in any court with jurisdiction.

Class action waiver: you and Pepared agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

Governing law. These Terms are governed by the laws of the state in which Pepared Research, LLC is organized, without regard to its conflict-of-law rules, and by applicable federal law.

19Changes & termination

We may update these Terms at any time by posting the revised version on this page and updating the "Last updated" date. Changes apply to orders placed after they are posted. Continued use of the site means you accept the updated Terms.

We may suspend or terminate your access to the site or your account at any time, for any reason, including a breach of these Terms. Sections that by their nature should survive termination, including research-use restrictions, indemnification, limitation of liability, and dispute resolution, will survive.

20Severability & entire agreement

If any part of these Terms is found unenforceable, that part will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce any part of these Terms is not a waiver.

These Terms, together with our Shipping, Refunds & Returns, and Privacy policies, are the entire agreement between you and Pepared about your use of the site and your purchases.
